These Website Terms of Use govern your use of the Superadjust marketing website at superadjust.com (the "Website").
The Website is operated by Superhive Pty Ltd trading as Superadjust ("Superadjust", "we", "us", "our"). By accessing or using the Website, you agree to these Website Terms.
These Website Terms apply only to the Website. They do not apply to the Superadjust platform at app.superadjust.com, which is governed by the Teacher Platform Terms of Service or the School Services Agreement, as applicable.
These Website Terms should be read alongside the Privacy Policy and the Website Privacy Collection Notice and Cookie Policy.
2. About Superadjust
Superadjust is an NCCD evidence and support management platform built for Australian K-12 schools and teachers. It is operated by Superhive Pty Ltd (ABN 58 683 676 584), a company incorporated in Australia.
3. Information on the Website
We use the Website to share information about Superadjust, our product, our pricing and how schools and teachers can use the platform. We try to keep that information accurate and up to date, but the Website is provided for general information only.
Information on the Website is not legal, educational, compliance, financial or professional advice. The Website does not provide a final view on any particular school's circumstances, and reading or relying on Website content does not create any advisory relationship between you and Superadjust.
Where the Website refers to specific functionality of the Superadjust platform, the actual functionality available to you depends on your plan, your account configuration and the version of the platform in use at the relevant time.
4. Permitted Use
You may use the Website to:
- Read information about Superadjust.
- Access publicly available legal documents and policies.
- Contact us through the forms and contact details we provide.
- Subscribe to our waitlist or marketing communications, where you have opted in.
- Share links to public Website pages on social media or in personal or professional communications.
5. Restrictions
You must not:
- Use the Website for any unlawful, fraudulent or harmful purpose.
- Use bots, scrapers or other automated tools to extract or copy content from the Website without our written permission.
- Attempt to access non-public areas of the Website or any underlying systems without authorisation.
- Use the Website in a way that interferes with or disrupts its operation.
- Upload viruses, malware or other harmful code.
- Reverse engineer, decompile or attempt to derive any source code or underlying technology associated with the Website, except to the extent permitted by law.
- Reproduce, adapt or distribute Website content for commercial purposes without our written permission.
- Use Website content to develop, train, build, market or operate a product or service that competes with Superadjust.
- Use Website content to train any artificial intelligence model without our written permission.
- Remove, hide or modify any notices, branding or legal terms shown on the Website.
- Impersonate Superadjust or any of its staff, contractors or partners.
6. Intellectual Property
The Website, including its text, graphics, layout, design, branding, photographs, illustrations, video, software, code, structure and other content, is owned by or licensed to Superhive Pty Ltd. All rights are reserved.
Nothing on the Website grants you any licence to use Superadjust's trade marks, logos, brand names or trade dress, except for incidental references in good faith (for example, identifying that you are linking to or describing Superadjust).
You may temporarily store a copy of Website pages on your device for personal viewing. You may print or share specific pages for non-commercial use, provided you keep all copyright and trade mark notices intact.
7. Forms, Waitlist and Contact Submissions
When you submit information through a form on the Website (for example, joining the waitlist, requesting a demo or contacting us), we will use that information to respond to you, follow up where you have opted in, and as otherwise described in the Privacy Policy and the Website Privacy Collection Notice.
If you opt in to marketing communications when submitting a form, we will treat your opt-in as consent under the Spam Act 2003 (Cth) and you can unsubscribe at any time using the link in our marketing emails.
You must only submit information that is accurate and that you are authorised to provide. You must not submit personal information about another person without their consent.
8. Third-Party Links
The Website may link to third-party websites, articles, regulators, government resources, school sector materials, legislation or other external content. These links are provided for convenience and do not mean that Superadjust endorses, controls or is responsible for the content of those external sites.
You access third-party sites at your own risk. The privacy and terms of use of those sites are the responsibility of the third-party operator, not Superadjust.
9. Availability
We aim to keep the Website available, but we do not guarantee that it will be available at all times or that it will operate without interruption or error. The Website may be temporarily unavailable due to maintenance, upgrades, third-party outages, security incidents or events outside our reasonable control.
We may modify or discontinue parts of the Website at any time without notice.
10. Australian Consumer Law
Nothing in these Website Terms excludes, restricts or modifies any guarantee, right or remedy under the Australian Consumer Law that cannot be excluded, restricted or modified. If you are a consumer, you may have statutory guarantees that apply regardless of anything in these Website Terms.
11. Disclaimers
Subject to the consumer guarantees that cannot be excluded under the Australian Consumer Law: the Website is provided on an "as is" and "as available" basis; we do not warrant that the Website will be uninterrupted, secure or free from errors; we do not warrant that any information on the Website is accurate, complete, current or suitable for any particular purpose; and we do not accept responsibility for content provided by third parties or linked from the Website.
12. Liability
Nothing in this section excludes, restricts or modifies any guarantee, right or remedy under the Australian Consumer Law that cannot be excluded, restricted or modified.
Subject to the Australian Consumer Law, to the maximum extent permitted by law, Superadjust will not be liable for any indirect, special, consequential, incidental, exemplary or punitive loss or damage, or for any loss of profits, revenue, savings, business opportunities, goodwill, anticipated benefits or data, arising out of or in connection with your use of the Website.
Subject to the Australian Consumer Law, our total aggregate liability to you in connection with your use of the Website is limited to AUD $100, to the maximum extent permitted by law. The Website is provided to you free of charge, and this cap reflects the no-cost nature of the Website. Where you have a paid relationship with Superadjust under a separate agreement, the liability provisions of that agreement apply to that relationship. The cap does not apply to liability for death or personal injury caused by negligence, liability that cannot be excluded by law, liability for fraud or wilful misconduct, or liability arising from infringement of intellectual property rights.
14. Changes to These Website Terms
We may update these Website Terms from time to time. The current version will always be available on the Website. The "last updated" date will be updated when changes are made. Your continued use of the Website after changes are published means you accept those changes.
15. Governing Law and Jurisdiction
These Website Terms are governed by the laws of New South Wales, Australia. You and we submit to the non-exclusive jurisdiction of the courts of New South Wales for the resolution of any dispute under these Website Terms.
