Referral Program Terms

The terms governing participation in the Superadjust referral program, including how credits are earned and what conduct is prohibited.

1. About These Referral Program Terms

These Referral Program Terms govern your participation in the Superadjust referral program operated by Superhive Pty Ltd trading as Superadjust ("Superadjust", "we", "us", "our").

By using any invitation, referral or sharing feature in the Superadjust platform, you agree to these Referral Program Terms. If you do not agree, do not use those features.

These Referral Program Terms form part of the Teacher Platform Terms of Service or the School Services Agreement, as applicable. The Acceptable Use Policy and the Privacy Policy also apply. If there is any inconsistency, the Teacher Platform Terms of Service or School Services Agreement prevails.

2. About the Program

The Superadjust referral program lets eligible teachers invite colleagues to try Superadjust. When an invitee signs up for a Superadjust account using a valid referral link, the inviter may receive AI credits as a thank-you.

The program is designed to spread Superadjust through genuine teacher-to-teacher recommendation. It is not designed for mass marketing, list-based outreach or bulk invitation distribution.

3. Eligibility

To participate as an inviter, you must have an active Superadjust account in good standing, be at least 18 years old, be a real person (not a bot, automated agent or shared account), only invite people you know personally and who would reasonably expect to receive an invitation from you about Superadjust, comply with the Acceptable Use Policy, the Spam Act 2003 (Cth) and applicable privacy law, and not be in breach of these Referral Program Terms or any other Superadjust policy.

To qualify as an invitee, the recipient must be at least 18 years old, be a real person (not a bot, automated agent or shared account), not have previously held a Superadjust account on the same email address, sign up using the inviter's referral link or invitation, and not have been invited and rewarded under any earlier referral program by Superadjust.

4. How Invitations Work

You can invite a colleague using the invitation feature available inside your Superadjust account. When you send an invitation, it identifies you and Superadjust as the sender, includes a link unique to you, includes a clear unsubscribe option, and is sent through Superadjust's communication infrastructure.

To protect recipients from spam, you may send up to 50 invitations per calendar month per Superadjust account. We may lower this cap, set stricter limits or temporarily disable invitation features at any time, including at short notice, if we reasonably believe the program is being misused.

You must only invite people who you reasonably believe would expect to receive an invitation from you about Superadjust. You must not invite people from purchased, scraped, harvested or third-party contact lists, invite the same person repeatedly, or misrepresent your relationship with the recipient or their school.

5. Earning Credits

Subject to these Referral Program Terms, you earn referral credits when a qualifying invitee signs up for a Superadjust account using your referral link. The number of credits awarded for each successful invitation is set out on the Superadjust pricing page or inside the platform.

Credits are typically applied to your account within 7 days of a qualifying signup. We may delay or hold credits while we verify that the invitation and signup comply with these Referral Program Terms.

Referral credits are added to your Superadjust account and can be used to power AI-assisted features. Credits do not expire on a fixed schedule but may be forfeited if your account is closed, suspended or terminated. Credits are non-transferable, non-refundable, have no cash value, and cannot be exchanged for cash or other products or services.

6. Prohibited Conduct

You must not:

  • Create fake, duplicate or shell Superadjust accounts to invite yourself or to claim credits.
  • Coordinate with other accounts to circumvent the cap or earn credits artificially.
  • Use bots, scripts or automated tools to send invitations or to drive signups.
  • Purchase, sell or trade referral credits.
  • Upload or use contact lists you do not have authority to use.
  • Send invitations using misleading, false or deceptive content.
  • Imply that Superadjust endorses you or your school in a way that is not accurate.
  • Use the program to send messages that breach the Spam Act 2003 (Cth) or any other applicable law.
  • Use the program in a way that is, or is likely to be, misleading or deceptive under section 18 of the Australian Consumer Law.

7. Clawback and Forfeiture of Credits

Superadjust may, at its reasonable discretion, claw back, cancel or forfeit referral credits where the relevant signup or invitation breaches these Referral Program Terms, the relevant invitee's account is found to be fraudulent, automated or duplicate, the relevant invitee's account is closed or suspended within 30 days of signup, the credits were earned in connection with abuse of the program, or the credits were earned in connection with a chargeback, refund or payment dispute.

Where credits are clawed back, the inviter's account may show a corresponding deduction in available credits. We will notify the inviter where reasonably practical.

8. Suspension or Removal From the Program

We may suspend or remove your access to the program, with or without notice, if we reasonably believe you have breached these Referral Program Terms or the Acceptable Use Policy, we receive complaints about your invitations, we identify suspicious activity associated with your account, your Superadjust account is closed, suspended or terminated, or we are required to suspend the program by law.

Suspension or removal from the program does not give rise to a right to compensation.

9. Privacy and Recipient Data

When you send an invitation through Superadjust, the recipient's name and email address are processed by Superadjust for the purpose of delivering the invitation, tracking signup attribution, and responding to support and unsubscribe requests. This processing is described in the Privacy Policy.

You must only enter contact information for people who would reasonably expect to receive an invitation from you about Superadjust. You must not enter sensitive information about a recipient or use the invitation feature to upload or process information about students, parents or carers.

10. Spam Act Compliance

Invitations sent through the program are commercial electronic messages within the meaning of the Spam Act 2003 (Cth). All invitations clearly identify Superadjust and the inviter, include a functional unsubscribe mechanism, and honour unsubscribe requests within five business days.

You agree not to use any feature of the program in a way that breaches the Spam Act 2003 (Cth).

11. Australian Consumer Law

Nothing in these Referral Program Terms excludes, restricts or modifies any guarantee, right or remedy available under the Australian Consumer Law that cannot be excluded, restricted or modified.

12. Changes and Program Closure

We may change these Referral Program Terms, change the credit amount or structure, change the cap, or close or pause the program at any time. Where reasonable, we will give notice. Material changes apply to invitations sent and signups received after the change takes effect.

If the program is closed, credits already earned remain on the account, subject to the clawback rules above.

13. Tax

You are responsible for any tax obligations that arise for you in connection with credits earned through the program. Credits are not money or income; they are usage entitlements within Superadjust.

14. Liability

Subject to the consumer guarantees that cannot be excluded under the Australian Consumer Law, and the liability provisions in the Teacher Platform Terms of Service or School Services Agreement (as applicable), Superadjust is not liable for any failure to deliver an invitation, any technical issue affecting tracking or attribution of credits, any third-party action affecting the recipient, any indirect, special, consequential, incidental, exemplary or punitive loss or damage, or any loss arising from your breach of these Referral Program Terms.

15. Governing Law and Disputes

These Referral Program Terms are governed by the laws of New South Wales, Australia. Disputes are handled in accordance with the dispute resolution provisions of the Teacher Platform Terms of Service or the School Services Agreement (as applicable).
